Ward & Smith Attorneys at Law

The Tax Practice Group attorneys regularly advise clients on local, state, and federal tax matters.  Our goal is twofold: (1) in our tax planning services, to assist clients in structuring transactions in tax-favorable manners, and (2) in our comprehensive tax services, to achieve tax-favorable outcomes for our clients in matters involving, for example, negotiation with the IRS and litigation.  We regularly assist clients in dealing with government agencies such as the U.S. Department of Treasury, IRS, and the North Carolina Department of Revenue.  We represent clients before state, tax, and federal courts.  Several attorneys are licensed to appear before the IRS and the U.S. Tax Court.

We serve a variety of individuals, large and small businesses, and nonprofit and tax-exempt organizations on tax-relevant matters such as business formation, ongoing operations, mergers, acquisitions, reorganizations, divestitures, liquidations, and obtaining and maintaining tax-exempt status, and we seek to achieve a favorable tax goal for our clients.  In addition to tax planning and advocacy services, we prepare documentation to effect tax-incentive transactions involving tax-exempt bonds and tax credits; provide tax opinions and disclosure materials concerning reorganizations, syndications, securities offerings, financings, investments, and other transactions; prepare requests for advance rulings and technical advice from the IRS or local taxing authorities; and prepare documentation to apply for tax-exempt status.  We also advise clients on international tax issues.  If the need arises, we have the skill and experience to guide our clients through audits, assessments, and litigation of income, estate, gift, employment, excise, sales and use, property, and other tax issues.

The Tax Practice Group represents a large number of clients including boards, commissions, and associations; corporations in any tax classification; estates; families; fiduciaries; financial institutions; government entities such as housing authorities, cities, towns, and counties; individuals; institutions; partnerships and limited partnerships; professional corporations; limited liability companies in any tax classification; sole proprietorships; tax-exempt and nonprofit organizations in any tax classification; trustees; and trusts.

As part of a full-service firm, Tax Practice Group attorneys are able to draw upon the experience of other groups within the firm—particularly Business, Financial Institutions, Real Estate, Trusts and Estates, and Litigation—and to assist clients referred to us from other groups—all for our clients' benefit.

Conflicts with the IRS on tax matters are among the many types of cases the Tax Practice Group handles.  In such controversies, our attorneys guide the client through audits by the IRS and the appeals process.  If the resolution is not satisfactory, the client has the option of appealing the decision in the U.S. Tax Court or U.S. District Court.

Attorneys in the Tax Practice Group pride themselves on keeping up to date on changes in tax laws.  We go the extra mile for our clients by sending them bulletins describing new tax laws and issues and by offering seminars on tax issues.  Providing quality service to our clients is one of our top priorities.

Attorneys in the Tax Practice Group bring to their work a range of complementary experience including the following: authors and lecturers on estate and tax planning and the operation of tax-exempt organizations; certified public accountant; members of boards of local chapters of nonprofit organizations; and subcommittee leader of the Real Property, Probate and Trust Section of the American Bar Association.
