Ward and Smith Advises Fidelity Bank in Completed Acquisition of Affinity Bancshares

Ward and Smith, P.A. served as legal counsel to Fidelity Bank in its completed acquisition of Affinity Bancshares, Inc. and its wholly owned subsidiary, Affinity Bank, N.A., according to Fidelity Bank’s July 31 press release.

The transaction expands Fidelity Bank’s presence into Georgia.

Under the terms of the transaction, Affinity stockholders will receive $23.00 in cash for each share of Affinity common stock. Following the acquisition, Fidelity Bank has approximately $5.5 billion in total assets, $4.6 billion in total deposits, and $3.6 billion in loans. The bank now operates two branches in Georgia, alongside its existing locations in North Carolina, South Carolina, and Virginia. From the release:
